BusStop Platform is owned and operated by Idea Expressions, a Sole Proprietorship Firm, (hereinafter referred to as “Idea Expression”, “We”, “Our”, and “Us”) having its Office at H.No. 312/4, Cottocco Moll, Rawanfond, Aquem Baixo Navelim, Salcete, South Goa, Goa, 403707. PLEASE READ THIS DOCUMENT, THE PRIVACY POLICY, AND DISCLAIMERS CAREFULLY BEFORE CONTINUING TO USE THIS PLATFORM.
These Terms and Conditions (“Terms”) together with the Privacy Policy and Disclaimers constitute a legally binding Agreement between you and Idea Expression and govern your access to and use of Idea Expression’s BusStop Platform, a no-code API testing tool made available through our Website (“Services”). Our Service is specifically designed for technical professionals engaged in API testing and development. However, BusStop Platform services can also be used by Users from the field including but not limited to banking and government authority.
Idea Expression reserves the right at its sole discretion to change, modify, or amend these Terms without any notice or liability to you. The changes to these Terms shall be effective immediately after posting such changes. Your continued use of our BusStop Platform following such modification will be conclusively deemed acceptance of any changes to these Terms and Conditions
BY ACCESSING OUR BusStop PLATFORM AND USING OUR SERVICES, YOU REPRESENT AND WARRANT THAT YOU HAVE READ, UNDERSTOOD, AGREE AND HAS FULL LEGAL CAPACITY AND AUTHORITY TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. YOU ACKNOWLEDGE AND AGREE THAT NO SIGNATURE OR EXPRESS ACT IS REQUIRED TO MAKE THESE TERMS, PRIVACY POLICY AND DISCLAIMER BINDING ON YOU AND YOUR ACT OF VISITING ANY PART OF OUR WEBSITE CONSTITUTES YOUR FULL ACCEPTANCE OF THESE TERMS, PRIVACY POLICY AND COOKIE POLICY IN ITS ENTIRETY.
BusStop PLATFORM IS INTENDED FOR THE GLOBAL USE
1. DEFINITIONS AND INTERPRETATIONS
In these Terms:
- 1. “API” shall mean Application programming interface;
- 2. "API Call" refers to the requests made through our Platform for API testing, including but not limited to system integrations and data retrieval, that are measured and limited according to the user's subscription tier;
- 3. "API Testing Data" means any data, including but not limited to API credentials, URL, API method, headers, request bodies, and response data processed through our Platform;
- 4. "Bandwidth" refers to the limit of API calls a user is provided with, depending on the subscription tier. The limit is time-bonded for a validity period.
- 5. "Bulk Testing" refers to BusStop Platform's capability to process multiple API tests for the same endpoint/URL via data sources including but not limited to CSV file uploads;
- 6. "Employee" means our support staff, internal team members, and Consultants who have been granted special access privileges to manage and maintain the Platform;
- 7. “Paid Subscribers” shall mean Users who paid to use and access the BusStop Platform's enhanced features and increased API call bandwidth.
- 8. "Platform" means our BusStop web-based API testing interface and its associated services;
- 9. "Subscription" means paid access to our Platform's enhanced features and increased API call bandwidth.
- 10. “Subscription Fee” means the price paid to avail the benefits of Subscription Tier.
- 11. "Service" means our API testing platform, including all features, functionalities, and user interfaces provided through our website;
- 12. “Support Staff” shall consist of authorized employees who manage customer support tickets and maintain platform operations. These individuals access the BusStop Platform through a separate authentication system and are subject to additional internal policies and confidentiality agreements.
- 13. "Support Ticket" means any customer service request submitted through our platform's designated support system;
- 14. “Third Parties” means other websites or platforms, apart from Idea Expressions and User.
- 15. "User", “You”, “Your”, or “Yourself” shall mean and refer to natural and legal individuals or entities accessing and using our BusStop Platform either as Customer(s), employee(s), Company’s client(s), or business person.
- 16. “User content” means data or content created by you when you access or use BusStop to input, retrieve, update and delete feed content into the API integrated by you.
- 17. “Visitor” means any individual or entity who may visit and browse our website without registration. They are bound by these Terms related to their limited interaction with our BusStop Platform
2. PLATFORM FUNCTIONALITY AND USAGE
- 1. The Platform is designed specifically for API testing professionals and provides automated testing capabilities through our web-based interface.
- 2. Each user is limited to one active session tab at any given time to maintain server stability and optimal resource allocation. This means that the Platform will maintain only one state of activity per user account, regardless of the number of devices used for access.
- 3. API call bandwidth is monitored and limited according to the user's subscription tier and any attempt to exceed this bandwidth results in temporary service restriction.
- 4. The Platform's data crawling capabilities must be used in compliance with all applicable laws and regulations. Our system automatically detects and prevents access to restricted URLs, and users are required to comply with all warnings regarding prohibited content or websites
3. REGISTRATION AND ELIGIBILITY
- 1. Our BusStop Platform utilizes a unique email-based One-Time Password (OTP) authentication system. To access and use our BusStop Platform and incidental services, the User should register with our BusStop Platform by entering only a valid email address.
- 2. A user is identified solely by the email address provided during registration. If the email address represents an organizational role rather than a specific individual (such as developer@company.com, support@company.com, or similar role-based addresses), the following provisions apply:
- * Any successor, replacement, or additional person who gains access to and utilizes the email address associated with the account automatically becomes bound by these Terms and Conditions in their entirety;
- * The organization associated with such email address is solely responsible for ensuring that any person who gains access to the BusStop Platform through such role-based email address is made aware of these Terms and Conditions and compliant with obligations set forth herein
- * All the actions through our Platform using such role-based email address shall be deemed to be authorized by the organization, regardless of which specific individual executed such actions. Idea Expressions shall not be liable for any disputes arising from the internal management of access to such role-based accounts.
- * The organization is responsible for managing internal transitions and access controls for role-based email addresses used to access our Platform.
- * The organization should promptly notify us of any unauthorized access to such role-based email accounts or if such accounts should be deactivated.
- * The BusStop Platform is available only to Users who are 18 years and above or has attained legal majority age in their respective jurisdictions.
- 4. You further represent that you will comply with these Terms & Conditions and all applicable local, state, national, and international laws, rules, and regulations and shall not use the BusStop Platform if you are not competent to contract or are disqualified.
- 5. When registering on our BusStop Platform you agree to provide true, accurate, updated information about yourself, and you are responsible for maintaining the confidentiality of your account.
- 6. You agree not to share, sell, transfer, or assign your account and access credentials to any unauthorized individuals.
- 7. You agree to immediately notify us of any unauthorized access or security breach in your account by sending an email to support@busstopsolutions.com.
- 8. Additionally, we reserve the sole right to terminate, suspend, or revoke access to your account or its associated privileges at our discretion, at any time, and without prior notification or obligation, if we have reason to believe that you are using our BusStop Platform for illegal purposes, including crawling or accessing any illegal banned URL in violation of our formulated Terms and Conditions, the laws of the Union of India, and applicable International laws.
- 9. We reserve the exclusive right to delete, suspend, or revoke your account and its associated privileges at our discretion, at any time, and without prior notification or obligation if we have reason to believe that you are using our BusStop Platform for any illegal activities, including but not limited to crawling or accessing, or attempting to access prohibited URLs that may harm the Platform or other users or are otherwise misusing the Platform in violation of our established Terms and Conditions, the laws of the Union of India, or applicable international laws.
- 10. The Users can delete their account by raising a support ticket with the subject line “Delete an Account”.
4. SERVICE PLANS AND USAGE LIMITATIONS
- 1. We offer services through a subscription-tiered system viz., Free, Addons, and Monthly Subscription Tiers (“Subscription Tiers”), with each tier offering specific features and usage limitations. For more details please visit https://www.busstopsolutions.com/pricing.php.
5. PAYMENT TERMS AND SUBSCRIPTION MANAGEMENT
- 1. By purchasing the subscription tier, you expressly authorize us to charge you for the selected tier on your designated payment method.
- 2. BusStop Platform is not a payment processor and does not hold any funds; instead, the Platform uses a third-party payment processing partner/payment service provider to process payments. All payments for our Service are processed securely through Razorpay (“Payment Processor”).
- 3. You acknowledge and agree that the use of Payment Processors is integral to our services and we exchange information with Payment Processors to facilitate the provision of the Services.
- 4. The processing of payments will be subject to the terms and policies of the Payment Processor in addition to these Terms. We shall not be liable for any error committed by the Payment Processor.
- 5. Subscription fees are charged in advance and are non-refundable regardless of any early cancellation of the Subscription.
- 6. To cancel your subscription tier, you must raise a cancellation request via a support ticket at least 3 business days before the next billing date to avoid consequent billing. If you choose to cancel, you may continue to access the subscription features until the end of your Subscription Period and your account will be reverted to the free tier. Also, in case you fail to pay the recurring subscription fee on time, the subscription features access will be revoked after the subscription period and your account will be reverted to the free tier.
- 7. All subscriptions automatically renew unless explicitly cancelled through our designated cancellation process as provided in provision 5:6.
- 8. All payment should be done in full as per the subscription fee.
- 9. We reserve the right to adjust subscription fees or modify subscription tiers at our discretion. In case of an increase in the subscription fees, we will implement it with fifteen (15) days advance notice to the user. By continuing to use the subscription tiers, you acknowledge and agree to any changes made to subscription fees or plans. If you disagree with these changes, please refrain from subscribing to our paid subscription tiers.
6. OCCASIONAL INTERRUPTION OF SERVICES
- 1. BusStop Platform may become unavailable periodically due to maintenance or malfunction of computer equipment or other reasons. You acknowledge that the platform is evolving and that the form and nature of the services may change from time to time without your notice.
- 2. Idea Expressions shall not be responsible for any delay, inability, or failure to access the Acuity Website due to any cause, including but not limited to acts of God, natural disasters, government orders, labour unrest, malfunction of user hardware or software, interruption in internet services, loss or corruption of data, and unanticipated suspension or cessation of services.
7. SUPPORT SYSTEM OPERATIONS
- 1. Our Platform includes a comprehensive support system accessible to all users. Support tickets can be created using our designated Support Option available in BusStop > Settings > User email ID > Support > Create a Ticket. Users must include a clear description of the issue or query and may optionally attach relevant files and provide additional contact information to facilitate resolution.
- 2. Support tickets progress through three major distinct stages: "Initiated" upon creation, "In Progress" when under review by our support team, and "Closed" upon resolution. Once a ticket is marked as "Closed", it cannot be reopened, and users must create a new ticket for any related issues.
8. OWNERSHIP OF INTELLECTUAL PROPERTY
- 1. The Platform, including but not limited to text, User interface, visual interfaces, content, photographs, video, audio, and graphics, codes, content, promotional material (the "Intellectual Property") is the property of the Idea Expression and is protected from unauthorized copying and dissemination by copyright law, trademark law, international conventions, and other intellectual property laws.
- 2. All intellectual property rights in the Platform, including but not limited to copyrights, patents, trade secrets, trademarks, and other proprietary rights, are owned exclusively by us. These Terms do not grant you any right, title, or interest in our intellectual property.
- 3. You agree to abide by all applicable copyright, trademark, and other laws, as well as any additional copyright notices or restrictions contained in the Platform.
- 4. Users retain all intellectual property rights in their own data and testing content uploaded to or processed through our Platform. However, by using our Service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, and process such content solely to provide and improve our Service.
- 5. Any feedback, suggestions, or improvements you provide regarding our Service become our exclusive property, and we may use such information without limitation or compensation for our Platform development and marketing purposes.
- 6. You shall not use any of the intellectual property displayed on the website in any manner that is likely to cause confusion among existing or prospective users of the website, or that in any manner disparages or discredits the website.
- 7. All rights in trade names, logos, service marks, trade dress, slogans, product packaging, and designs of our Content and Services, whether or not appearing in large print or with the trademark symbol, belong exclusively to us or our licensors and are protected from reproduction, imitation, dilution, or confusing or misleading uses under national and international trademark and copyright laws.
- 8. You are further aware that any reproduction or infringement of the intellectual property of the owners by you will result in legal action being initiated against you by the respective owners of the intellectual property so reproduced/infringed upon. You agree that the contents of this section shall survive even after the termination or expiry of these Terms and/or Privacy Policy
9. USER CODE OF CONDUCT
Users of the BusStop Platform are strictly prohibited from engaging in any activities that violate applicable laws, infringe upon the rights of others, or compromise the integrity and security of our Services. The following activities are expressly prohibited:
- Unauthorized Access, Scraping, or Reverse Engineering - Users shall not attempt to scrape, copy, modify, decompile, disassemble, or reverse engineer the BusStop Platform or its underlying code. This prohibition includes but is not limited to attempting to bypass security controls or access restricted areas of the Platform; circumventing security measures, any technical restrictions implemented to protect proprietary content or technology; or creating derivative works based on our proprietary algorithms, technology, or software architecture.
- Viruses, Malware & Malicious Activities - Users shall not introduce, distribute, or transmit any viruses, malware, ransomware, Trojan horses, worms, spyware, or any other malicious code that could compromise the integrity, security, or functionality of the BusStop Platform, its users, or third-party services; or engage in any hacking, phishing, or cyberattacks, including but not limited to denial-of-service (DoS) attacks, SQL injection, brute-force attacks, or any unauthorized testing of the Platform
- Misuse of Accounts & Circumvention of Access Restrictions - Users shall not attempt to circumvent usage limitations by creating multiple accounts to bypass account restrictions or usage limits; or sharing access credentials to third parties unless expressly permitted under our Additional User Access provisions, or engaging in any activities designed to artificially inflate usage quotas or abuse trial accounts.
- Automated Data Extraction & Unauthorized Data Access - The use of deep–-links, bots, spiders, crawlers or other automatic tools to extract, acquire, copy, or scrape any BusStop proprietary data or monitoring of any part of the BusStop Platform is strictly prohibited. The Users shall not attempt to circumvent BusStop Platform’s navigational structure, authentication measures, or data access controls; or bypass any limitations imposed by BusStop’s Terms.
- Interference with Platform Operations - Users shall not engage in any activity that disrupts, degrades or interferes with the availability, security, or functionality of the BusStop Platform, server operations, network stability; or third-party integrations used to provide the services, or data transmission, platform’s performance, or API execution that causes excessive load on BusStop’s infrastructure.
- Impersonate any person or entity, or falsely state or otherwise misrepresent his or her affiliation with a person or entity.
- Security Violations - Probe, scan, or test the vulnerability of the BusStop Platform and its connected servers/networks; breach the security, authentication or encryption measures implemented to protect the Platform or its server. The user shall not reverse lookup, trace, or seek to trace, or exploit, in any manner, any information relating to any other user, or visitor of the Platform, including any other user’s account maintained on the BusStop Platform not operated/managed by the user.
- Damage to Service Provider Relationships - Users shall not commit any act that causes us to lose, in whole or part, our Platform’s ability to maintain relationships with Internet Service Providers (ISPs), hosting providers, cloud vendors, or payment processors; or violates third-party service agreements that may affect our Platform’s ability to operate.
- Legal Compliance - You hereby expressly authorize Idea Expressions to disclose all your information in our possession, to law enforcement, regulatory authorities, or government agencies, if required by any judicial order, law, regulatory mandate or a valid government request related to the investigation of illegal activities. We may, in our sole discretion, disclose user activity records and account details if deemed necessary to investigate potential fraud, cybercrime, intellectual property infringement, or financial misconduct; or protect the rights, safety, and security of Idea Expressions, its BusStop Platform, users, or the general public.
- Violations of this clause 9 shall result in immediate suspension or termination of access to the BusStop Platform; or reporting to cybersecurity authorities or law enforcement agencies for investigation and enforcement.
10. CONFIDENTIALITY
- 1. All information exchanged between users and our Platform is considered confidential information. This includes but is not limited to, API testing data, authentication tokens, passwords, and any other sensitive information transmitted through our Service. Users acknowledge and agree to maintain the confidentiality of all such information and not to disclose it to any third party without our explicit written consent.
- 2. Our employees and support staff are bound by strict confidentiality agreements regarding all user data and testing information they may encounter in the course of their duties. We maintain robust internal policies and procedures to protect confidential information from unauthorized access or disclosure.
- 3. The confidentiality obligations under these Terms survive the termination or expiration of your account and continue indefinitely with respect to any confidential information that constitutes a trade secret under applicable law.
11. LINKING AND FRAMING
We prohibit caching the BusStop Platform, unauthorized hypertext links to this Platform, and the framing of any materials available through this Platform. We reserve the right to disable any unauthorized links or frames and specifically disclaim any responsibility for the contents of any other Internet websites linked to this Platform. The partnered Payment Service Provider linked to the BusStop Platform have their terms and conditions of use and privacy policies.
YOU AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAWS, IDEA EXPRESSIONS SHALL NOT, UNDER ANY CIRCUMSTANCES, BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY GOODS, SERVICES, INFORMATION, RESOURCES, OR CONTENT AVAILABLE ON OR THROUGH ANY THIRD-PARTY WEBSITE, OR FOR ANY HARM RELATED TO ANY GOODS, SERVICES, INFORMATION, RESOURCES, OR CONTENT AVAILABLE ON OR THROUGH ANY THIRD-PARTY WEBSITE OR FOR ANY DAMAGES OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH YOUR USE OR RELIANCE ON THE CONTENT OR BUSINESS PRACTICES OF ANY THIRD PARTY
12. INDEMNIFICATION
- 1. You agree to defend, indemnify, and hold harmless Idea Expressions, its priopriotors, affiliates, subsidiaries, directors, officers, employees, agents, partners, contractors, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from or related to:
- * Your use of the Platform - Your use of or access to the BusStop Platform, including any data or content transmitted or received by you.
- * Violation of any terms or rights - Your violation of any term or condition of these Terms and Conditions and any third-party rights, including but not limited to any intellectual property rights, privacy rights, or publicity rights.
- * Non-compliance with Laws and Regulations - Your violation of any applicable laws, rules, or regulations, including but not limited to those related to API processing, data protection, or computer security.
- * Unauthorized API Processing - Any processing of APIs without proper authorization from the API owners or breach of any representations, warranties, or covenants set forth in these Terms
- * Third-Party Claims & User activities - claims brought by third parties arising from your use of BusStop Platform; API owners challenging the processing of their services through the Platform; any access or attempted access to banned, restricted or illegal URLs through our Platform.
- 2. Notwithstanding the foregoing, Idea Expressions reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Idea Expressions, and you agree to cooperate with the Idea Expressions defense of such claims. Idea Expressions will make reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it. However, the failure to provide notice shall not limit or waive your indemnification obligations.
13. LIMITED LIABILITY
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- 1. The Users shall not use the BusStop Platform to access or process APIs of websites that are blocked or illegal under Indian law or any other applicable jurisdiction. This includes but is not limited to, websites associated with terrorism, human trafficking, pornography, gambling, drug trafficking, or other illegal activities. It shall be the sole responsibility of the User to ensure that all APIs processed through our Platform comply with all applicable laws and regulations.
- 2. You expressly acknowledge and agree to bear sole and complete responsibility for any attempt to access, test, process or interact with banned or illegal URLs through our Platform.
- 3. We have no obligation to monitor, verify, filter, or endorse any third-party URLs that you process using our Platform, nor does it facilitate or encourage access to any restricted, illegal, or unauthorized URLs. But, we reserve the right to implement automated detection of known prohibited URLs.
- 4. Despite of restriction stipulated in clauses 10:1 and 10:2, if you access or attempt to access any banned or illegal URL, you shall be solely liable for all consequences arising from such actions, including but not limited to legal penalties, regulatory actions, or any other liabilities.
- 5. Idea Expressions reserves the right to restrict, suspend, or terminate a User’s access if required to comply with applicable laws, governmental requests, or industry regulations.
- 6. IDEA EXPRESSIONS SHALL UNDER NO CIRCUMSTANCES BE LIABLE TO YOU FOR ANY LOSS OR DAMAGES, EITHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, ACTUAL OR CONSEQUENTIAL, OR EXEMPLARY DAMAGES, ARISING OUT OF OR RELATING TO THESE TERMS, OR YOUR ACCESS OR ATTEMPTED ACCESS TO BANNED, ILLEGAL OR UNAUTHORIZED URLS OR TO YOUR (OR ANY THIRD PARTY'S) USE OR INABILITY TO USE BusStop PLATFORM, OR TO YOUR RELIANCE UPON INFORMATION OBTAINED FROM OR THROUGH THE BusStop PLATFORM. IN PARTICULAR, THE IDEA EXPRESSIONS WILL HAVE NO LIABILITY FOR ANY CONSEQUENTIAL, INDIRECT, PUNITIVE, SPECIAL OR INCIDENTAL DAMAGES, WHETHER FORESEEABLE OR UNFORESEEABLE, (INCLUDING, BUT NOT LIMITED TO, CLAIMS FOR DEFAMATION, ERRORS, LOSS OF DATA, OR INTERRUPTION IN AVAILABILITY OF DATA), ARISING OUT OF OR RELATING TO THESE TERMS.
- 7. YOUR USE OR INABILITY TO USE THE BusStop PLATFORM OR TO YOUR RELIANCE UPON INFORMATION OBTAINED FROM OR THROUGH THE BusStop PLATFORM, WHETHER BASED IN CONTRACT, TORT, STATUTORY OR OTHER LAW, EVEN IF IDEA EXPRESSIONS OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- 8. Idea Expressions shall cooperate with legal authorities and regulatory bodies if mandated under applicable law but shall not be liable for any third-party enforcement actions against the User.
- 9. Idea Expressions’ total liability for any claim arising from a User’s violation of this clause 11 shall not exceed the amount paid by the User to Idea Expressions during the three (3) months preceding the claim, or INR 5,000, whichever is lower, except where applicable law mandates a different minimum liability standard.
In the event of any collective, representative, or class action claim, Idea Expressions’ aggregate total liability shall not exceed INR 10,000 in total for all claimants combined, except where applicable law mandates a different minimum liability standard.
14. REPRESENTATION AND WARRANTIES
- 1. Idea Expression provides its BusStop Platform on an "as is" and "as available" basis without warranties of any kind, including but not limited to the legality of URLs tested using the Platform.
- 2. Idea Expression does not guarantee that its Platform complies with all global legal frameworks. Users are responsible for determining the legality of their activities. Please refer to our Disclaimer page for more details
- 3. The materials appearing on Idea Expression's website could include technical, typographical, or photographic errors. Idea Expression does not warrant that any of the materials on its website are accurate, complete, or current. Idea Expression may make changes to the materials contained on its website at any time without notice. Idea Expression does not, however, make any commitment to update the materials.
15. NO RELATIONSHIP
Nothing in the BusStop Platform and the contents thereof shall be construed as creating a relationship of partnership, joint venture, agency, or employment between the Parties. Idea Expressions shall not be responsible for the acts or omissions of the User, and the User shall not represent the Idea Expressions, nor does it have any power or authority to speak for, represent, bind, or assume any obligation on behalf of the Idea Expressions.
16. TERM AND TERMINATION
- 1. These Terms shall continue to be in full force and effect until you continue to access and use the BusStop Platform.
- 2. We reserve the right to suspend or close your account without prior notice and/or terminate your access to the BusStop Platform for any violations, including but not limited to engagement in fraudulent activities. In case of any discrepancies or legal issues, we may take immediate action to protect the integrity of Idea Expressions, our BusStop Platform and its Users.
- 3. Termination of these Terms does not relieve users of their obligations, including but not limited to payment of any outstanding fees, which they were required to perform before termination.
- 4. The obligations specified in provisions 8, 9, 10, 12, and 13 shall survive termination of these Terms.
17. DISPUTE RESOLUTION
- 1. The parties shall first attempt to amicably resolve any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, including questions regarding their existence, validity, interpretation, performance, breach, or termination ("Dispute") through good faith negotiations, which shall begin with fifteen (15) business days advance written notice by either party to the other, identifying the subject of the Dispute and requesting its resolution.
- 2. If the Dispute cannot be resolved amicably within thirty (30) business days from the date of such notice, the Dispute shall be referred to and settled by binding arbitration in accordance with the Arbitration & Conciliation Act, of 1996, as amended from time to time, (“Act”) and the Rules specified therein.
- 3. The arbitration panel shall consist of a sole arbitrator jointly appointed by the parties. If the parties fail to agree on the appointment within fifteen (15) days, the appointment shall be made by the High Court of Bombay at Goa in accordance with the Act.
- 4. The arbitration proceedings shall be conducted in English and the place of arbitration shall be Margao, South Goa, Goa.
- 5. Any claim you have must be commenced within one (1) year after the claim arises.
- 6. The award granted by the Sole Arbitrator shall be final and binding on the parties. This award shall be enforced by the court having competent jurisdiction situated at Margao, South Goa, Goa.
- 7. The costs of arbitration, including arbitrator fees, shall be shared equally between the parties unless the arbitrator determines otherwise in the award.
- 8. The User agrees that if Idea Expressions is unable to resolve its disputes with the User, the Company has the right to terminate the Terms and Conditions with the User.
18. FORCE MAJEURE
We will not be liable for damages resulting from any delay or failure with relation to our services caused by reasons beyond our control i.e., due to force majeure events including but not limited to acts of war, earthquake, pandemic, floods, tsunami, landslide, etc.
We shall also not be liable for any delay, interruption, failure, or damages arising from the unavailability, malfunction, suspension, or failure of third-party service providers, suppliers, hosting providers, infrastructure providers, payment gateways, communication services, cloud services, or other external dependencies used in providing our services.
19. SEVERABILITY
If any provision of these Terms is deemed unlawful, void, or unenforceable for any reason, it shall be severed from the rest of the Terms and shall not impact the legality, validity, and enforceability of the remaining provisions.
20. PRIVACY POLICY
Any information that a User or Participant provides to the Company shall be treated as per the Company’s Privacy Policy available at https://www.busstopsolutions.com/legal.php?doc=data-privacy-policy
21. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the Union of India and local laws of the State of Goa. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts situated at Margao, South Goa, Goa.
22. SERVICE MODIFICATIONS
We reserve the right to suspend or discontinue any aspect of our Service at any time, including features, API call bandwidth, and pricing structures. Following such modifications, continued use of the Service constitutes acceptance of the updated Terms.
23. ENTIRE AGREEMENT
These terms, read with the Privacy Policy, and Disclaimer form the complete and final contract between us regarding the subject matter hereof and supersede all other communications, representations, and agreements, whether oral, written, or otherwise, relating thereto.
